Who Must File a New Annual Report?
To comply with the new annual report requirement, the following entities are required to file an annual report:
- All domestic Corporations (business and nonprofit)
- Limited liability companies
- Limited liability (general) partnerships
- Electing Partnerships (that are not limited partnerships)
- Limited partnerships
- Professional Associations
- Business Trusts
- All foreign associations doing business in Pennsylvania.

Required Information on the PA Business Annual Report
The information that must be included in the annual report:
- Business name
- Jurisdiction of formation
- Registered office address
- Principal office address
- Name of at least one governor (director, member, partner)
- Names and titles of the principal officers
- Entity number issued by the Department of State
2025 Business Filing Deadlines
Pennsylvania’s deadline for filing the Annual Report is based on your entity type:

Corporations (business and nonprofit)/domestic and foreign | January 1-June 30 |
Limited liability companies/domestic and foreign | January 1-September 30 |
Limited partnerships, limited liability partnerships, business trusts, professional associations/domestic and foreign | January 1-December 31 |
Filing Process & Fees
Annual reports can be filed online, providing immediate confirmation with a downloadable Form and Acknowledgement Letter. The filing fee is $7 for business corporations, LLCs, LPs, and LLPs. Nonprofit corporations and LPs or LLCs with a not-for-profit purpose are exempt from the filing fee.
Consequences of Non-Compliance
Failure to file the Annual Report will result in administrative dissolution, termination, or cancellation. However, the Department is providing a transition period until January 4, 2027, before imposing these penalties.
